Terms of Service

Plain-English summary: use the service in good faith, pay for what you subscribe to, don't break the law, and we'll do our best to keep things running. If something goes wrong, our liability is limited to what you paid us in the last 12 months.

1. Agreement

By using AgentPKI Commerce ("Service") you agree to these terms. If you don't agree, don't use the Service.

2. The Service

We provide a cryptographically verified directory of local businesses for AI assistants. We extract catalog data, sign it with Ed25519, expose it via APIs (MCP, REST, OpenAPI), and may publish deals/broadcasts on your behalf.

3. Accounts

You must be 18+ and the authorized representative of any business you onboard. You're responsible for keeping your dashboard credentials secure.

4. Plans + billing

Pricing is at /smb and /brands. Subscriptions auto-renew monthly. Cancel anytime via your dashboard; access continues until end of paid period. No partial refunds.

NC Founder pricing ($79/mo locked for life): valid only if you (a) subscribe within the first 100 NC signups, (b) maintain continuous subscription. If you cancel and resubscribe later, founder pricing does not transfer.

Take-rate on agent-driven sales: 0.5–1.5% depending on tier, charged via Stripe at point of sale (future feature; activates only when consumer payment routing is enabled).

5. Acceptable use

You may not:

Misrepresent your business or onboard a business you don't own
Publish fraudulent prices, deceptive deals, or illegal goods
Use the Service to spam, phish, or harass
Reverse-engineer rate-limit bypasses or attempt to extract data beyond your own
Re-distribute our APIs as if they were yours

We reserve the right to suspend accounts that violate this section.

6. Your content + license to us

You retain ownership of your catalog data. You grant us a worldwide, non-exclusive, royalty-free license to host, sign, distribute, and display your data on AgentPKI Commerce surfaces (web, APIs, MCP, AI assistant integrations).

You represent that you have the right to grant this license — i.e., the catalog data is yours or you're authorized to publish it.

7. Our content + open protocol

AgentPKI Commerce protocol specifications are published under Apache 2.0 at agentpki.dev/spec. Our hosted infrastructure (this Service) is proprietary; source code at github.com/agentpki/agentpki-commerce may be MIT- or Apache-licensed individually.

8. Service availability

We target 99.5% monthly uptime but provide no SLA in the free trial or Pro tier. Collective + Brand tiers may receive separate uptime credits — described in your subscription documents if applicable.

9. Termination

You may cancel anytime. We may terminate accounts that violate Section 5 or for non-payment, with at least 7 days notice except for emergency suspensions.

10. Disclaimers

The Service is provided "as is". To the maximum extent permitted by law, we disclaim all warranties (express, implied, or statutory) including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the greater of (a) $100 USD or (b) the amount you paid us in the 12 months before the claim.

We are not liable for indirect, consequential, incidental, special, or punitive damages — including lost profits, lost data, or business interruption.

12. Indemnification

You indemnify us against third-party claims arising from (a) your use of the Service, (b) your content, (c) your violation of these terms.

13. Governing law

These terms are governed by the laws of the state of Delaware, USA, without regard to conflict-of-laws rules. Disputes resolved in state or federal courts located in Delaware.

14. Changes

We may update these terms. Material changes notified by email at least 30 days in advance. Continued use after the effective date = acceptance.
